名稱含義
Co., Ltd.是有限公司的英譯。國際上通常譯作LTD，國內較多譯作Co., Ltd.。
根據《公司法》，有限公司包括有限責任公司和股份有限公司。
Ltd. means limited liability, and this designation is implemented when the company starts its processes. An Ltd. format is commonly used for small companies that have a limited number of owners, and it can be similarly associated with a Limited Liability Company (LLC) or a corporation. This set-up allows for more flexibility for the owner(s), and the single owner can be treated as a disregarded entity. In this scenario, the single member is often singled out as the person responsible for performing the actions of the LLC. Companies with Ltd have limited liability, and therefore, the members of the company have restrictions for their shares. Some Ltd. companies have been established on the basis of public funds that are in the form of equity and preference shares.
有限責任公司的股東人數為2人以上50人以下，股份有限公司股東人數沒有上限。
名稱定義
根據中國人大網最新中華人民共和國公司法規定：有限責任公司的股東以其認繳的出資額為限對公司承擔責任；股份有限公司的股東以其認購的股份為限對公司承擔責任務。有限公司包含所有中華人民共和國境內所有公司，即：責任有限公司（非股份制公司）及股份制有限公司，所有有限公司都以其全部資產對其債務承擔責任。
關於Co.,LTD.和LTD的異同
Co.,LTD.是有限公司英文名的寫法，國際上的習慣寫法是LTD，Co.,LTD.和LTD是不同習慣下的不同寫法，其實表示的是同一個意思。
Ltd（Limited）在全球代表有限公司的含義，且適用於各國股份制有限公司。比如在納斯達克上市的Frontline Ltd。再比如阿里巴巴在美國上市的公司名：ALIBABA GROUP HOLDING LTD。同樣，訪問英國商務部官方網站，任意輸入公司名（比如ABC)，可以發現大部分是直接以Ltd或者Limited結尾。搜尋“baidu”，出來的是：BAIDU LTD。
limited有形容詞“有限的”意思，也可以作為名詞直接指代“有限公司”。Ltd是limited在作為有限公司的時候的名詞性含義，單獨不能當作“有限的”這個含義來用。例如：My time is limited. 這句不能寫成 My time is ltd。
國內用戶一般將“有限公司”譯作co,ltd，但其實很多有國際視野的央企和大部分在華外資公司，直接使用的是LTD或Limited，而非co.,ltd。比如，中國工商銀行官方的英文名稱:Industrial and Commercial Bank of China Limited 。又比如德國西門子公司，在華公司名稱為 Siemens Ltd. China。
