工程保函是由一具備特定信用評級的第三方向業主出具的書面保證，保證承包商可以按照承包契約完成項目。該書面保證即為保函。

保函不同於其他常規險種，它提供的是一個涉及三方的風險轉移機制。言以蔽之，保函是一種由
審核/盡職調查(Due Diligence)。
一．Financial and Technical Solidity
財務和技術實力
1. Company Introduction, including organization chart.
貴公司之母公司（或貴公司）的營業執照、組織機構代碼證、稅務登記證複印件，公司介紹及公
司產權結構。
2. Three years of audited consolidated Financial Statements, along with auditor’s notes,
from the ultimate parent company, highlighting the company activities, statement of
strategy and outlook.
貴公司之母公司（或貴公司）過去連續三年的、經過審計的年度財務報告及附註。
3. History/background: highlighting your construction/contracting experience and activity
by stating largest contracts performed for the past three years with breakdown on
contract value, duration, nature of project and location.
貴公司之母公司（或貴公司）最近三年已完工的主要項目，請註明項目名稱、性質、地點、金額、
業主、起始和終止的日期。
4. Current Work-on-Hand report.
貴公司之母公司（或貴公司）在建工程一覽表，請註明項目名稱、性質、地點、金額、業主、起
始和終止的日期。
5. Banking facilities: details in respect of current banking relationships and related facilities,
provided with % of utilization and any covenants etc.
銀行往來情況：銀行提供的授信額度、已使用的額度及其他信用情況。
6. The willingness to sign our general Corporate Indemnity Agreement.
貴公司之母公司（或貴公司）同意簽署我司提供的“雙方賠償協定書”。
二．Bonding Requirement
開立具體保函需要提供的資料
1. For what type(s) of contracts are bonds needed? Any specific owner, i.e., public entities
versus private clients?
契約類別、業主情況。
2. Average size of contracts and duration etc.
契約金額及契約期限。
3. Bonds: estimated size of overall bonding facility; average size of bonds and as a % of
the contract price; wording.
估計保函額度需要量、具體項目保函金額要求、保函格式要求。
4. Extracts construction Contract on scope of project, bond specimen, and insurance
requirement.
建築契約影印件。
5. Letter of Credit.
銀行提供的備用信用證。
6. The willingness to sign our general Corporate Indemnity Agreement.
貴公司之母公司（或貴公司）同意簽署我司提供的“雙方賠償協定書”。
項目若是聯合承包：
7. Type of joint venture; i.e., permanent – for one specific job? Joint and several
limited/unlimited liability; a copy of the joint venture agreement is very useful in that
respect.
合資形式：永久/單一項目，合資協定的影印件。
8. Joint venture partners: names along with review of their financial solidity; (latest
audited financials for the last 3 financial years) and technical strength in performing
similar jobs. Are they bonded? Who are their sureties?
